1. Agreement and contracting notice
These Terms of Service (the “Terms”) are an agreement between the person or organization using the Services (“Customer” or “you”) and AI Gateway HQ LLC, doing business as AI Gateway HQ (“AI Gateway HQ,” “we,” or “us”). They apply to the AI Gateway HQ websites, control plane, gateway APIs, software interfaces, evaluation environments, and support services (collectively, the “Services”). If you use the Services for an organization, you represent that you have authority to bind it.
Where the authenticated workspace offers paid self-service checkout, the checkout flow identifies the product and shows the price, currency, billing interval, renewal terms, taxes if applicable, cancellation path, and card statement descriptor before confirmation. An executed order form, enterprise agreement, business associate agreement, data processing addendum, or service-level agreement (each an “Order”) controls if it expressly conflicts with these Terms.
By creating an account, accepting an Order, or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
2. Accounts, administrators, and authority
- Provide accurate account and billing information and keep it current.
- Protect sign-in factors, gateway keys, recovery methods, and administrator sessions. Do not share individual administrator accounts.
- Customer controls its users, roles, service accounts, provider credentials, routes, budgets, and policies. A Customer administrator may access and change Customer workspace settings and data.
- Tell us promptly about suspected compromise, unauthorized access, or a material billing error.
- You remain responsible for activity performed with credentials issued to your workspace until they are revoked or we are notified and can reasonably act.
3. The Services and availability
AI Gateway HQ provides an administrative and request-time control boundary for model traffic. Depending on the configured service, features may include provider routing, policy decisions, budget enforcement, usage evidence, virtual keys, guardrails, caching, fallbacks, and support workflows. Documentation labels preview, beta, planned, disabled, and generally available behavior; those labels are part of the service description.
An evaluation, preview, or beta feature may change, be rate-limited, or be withdrawn and is not covered by a production service level unless an Order says otherwise. We may make changes that improve security, reliability, compliance, or interoperability. We will not represent an unimplemented feature, certification, deployment mode, or service level as available.
4. Customer Content and model providers
“Customer Content” means prompts, outputs, files, configuration, routing metadata, account data, and other information submitted to or generated through the Services. As between the parties, Customer retains its rights in Customer Content. Customer authorizes us to process Customer Content only to provide, protect, support, and improve the operational quality of the Services, comply with law, and enforce these Terms.
With bring-your-own-key (“BYOK”) connections, Customer selects and maintains its own relationship with the model provider. Model requests are sent to the provider Customer configures, subject to Customer policies and provider availability. The provider's terms, data handling, regional processing, model behavior, and inference charges remain between Customer and that provider. AI Gateway HQ does not grant rights to a third-party model or guarantee its output.
Do not submit protected health information, payment-card data, export-controlled information, government-classified information, or other specially regulated data unless an executed Order expressly permits it and the required deployment, provider, retention, and contractual controls are active.
5. Credentials and security boundaries
Provider credentials entered through supported write-only workflows are encrypted for the configured deployment. Customer must have the right to use every credential it provides and must rotate or revoke it when access changes. AI Gateway HQ never needs a password to a provider's interactive console.
No service can eliminate all security risk. Customer is responsible for endpoint security, identity-provider configuration, least-privilege role assignment, safe application behavior, model-output review, and backups or records outside the Services that Customer is required to maintain. AI Gateway HQ is responsible for the controls expressly described in the applicable service documentation or Order.
6. Fees, credits, taxes, and renewal
Published self-service prices are in U.S. dollars unless checkout or an Order states otherwise. BYOK provider inference charges are billed by the provider and are not included in AI Gateway HQ gateway fees. Customer is responsible for applicable taxes other than taxes based on our net income.
A paid subscription renews for the interval shown at checkout until canceled. Prepaid gateway credit and managed-eligible cash are service entitlements, not bank deposits, gift cards, or cryptocurrency. The gateway may reserve credit before a request and capture or release the reserve after the outcome is known. If usable credit reaches zero, billable gateway or managed traffic stops. Optional auto-reload creates new charges only under Customer-configured thresholds and caps.
The Refund and Cancellation Policy is incorporated into these Terms. A payment does not create credit merely because a browser redirects; applicable entitlement begins only after verified payment settlement. We may correct a duplicate credit, refund, dispute, chargeback, reversal, tax adjustment, or ledger error. A negative balance suspends billable traffic until resolved.
7. Acceptable use
Customer and its users must follow the Acceptable Use Policy, provider terms, and applicable law. Customer may not probe or disrupt another tenant, evade limits, bypass safety or access controls, resell access except under an authorized program, or use the Services to distribute malicious code, steal credentials, or facilitate unlawful conduct.
8. Confidentiality
Each party may receive nonpublic information that a reasonable person would understand to be confidential. The receiving party will use it only to perform under the agreement, protect it with reasonable care, and disclose it only to personnel and service providers who need it and are bound to protect it. This obligation does not cover information independently developed, lawfully received without restriction, publicly available without breach, or approved for release in writing.
If law requires disclosure, the receiving party will provide advance notice when legally permitted and reasonable assistance at the disclosing party's expense. An Order may include more specific confidentiality terms.
9. Intellectual property and feedback
AI Gateway HQ and its licensors own the Services, documentation, designs, software, and related intellectual property, excluding Customer Content and third-party models. Subject to these Terms and payment of applicable fees, we grant Customer a limited, nonexclusive, nontransferable right to use the Services during the applicable term for its internal business purposes.
If Customer voluntarily provides product feedback, it grants us a perpetual, worldwide, royalty-free right to use that feedback without identifying Customer or disclosing Customer Confidential Information. These Terms do not grant access to source code or rights to copy, reverse engineer, or create a competing service from nonpublic elements, except to the limited extent a restriction is prohibited by law.
10. Suspension and termination
We may immediately restrict affected credentials, traffic, or features when reasonably necessary to contain a security incident, prevent material harm, comply with law, address fraud or payment risk, enforce a hard budget, or stop a material violation. When practical, we will limit the action to the affected scope and notify Customer with a reason and recovery path.
Customer may stop using an evaluation at any time and may cancel a paid subscription as described in the Refund and Cancellation Policy. Either party may terminate an Order for an uncured material breach after the cure period stated in that Order. On termination, access ends, outstanding fees remain due, and provisions that by their nature should survive will survive, including confidentiality, payment, intellectual property, disclaimers, and liability limits.
11. Warranties and disclaimers
Each party warrants that it has authority to enter the agreement. Customer warrants that it has the rights and permissions needed for Customer Content, provider credentials, and processing instructions.
Except for an express warranty in an Order and to the maximum extent permitted by law, the Services, evaluation features, third-party models, and model outputs are provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, title, and noninfringement. AI outputs can be incomplete, inaccurate, or unsafe and require appropriate human review. We do not guarantee uninterrupted operation, a specific model result, savings amount, certification outcome, or compatibility not expressly listed as validated.
12. Liability boundaries
To the maximum extent permitted by law, neither party will be liable under these Terms for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, even if advised that they are possible. AI Gateway HQ's aggregate liability arising from these Terms will not exceed the fees Customer paid to AI Gateway HQ for the affected Services during the twelve months before the event giving rise to the claim; for a free evaluation, the cap is one hundred U.S. dollars.
These limits do not apply where prohibited by law and do not limit Customer's payment obligations, misuse of the other party's intellectual property, violation of the Acceptable Use Policy, or liability that cannot legally be limited. An Order may establish different negotiated limits.
13. Changes and notices
We may update these Terms to reflect service, legal, or security changes. The page will show the effective date. If a material change adversely affects an active paid self-service subscription, we will provide reasonable advance notice through the account or billing contact when practical. Continued use after the effective date constitutes acceptance; if Customer does not agree, it must stop use and cancel before the change applies.
Operational notices may be delivered in the console or to an account contact. Legal notices to AI Gateway HQ must be submitted through the secure contact channel identified on this page until a contracting notice address is published or stated in an Order.
